Eqvista allows you to create a vesting plan very easily. Here is a step by step guide that will help you understand how to create a vesting plan on Eqvista.

Step 1: Log into your account on Eqvista, select the company profile, and you will be directed to the dashboard of the company where you can begin the process. 

Now before we can move ahead, it is important to note that there are two ways you can create a vesting plan. Both have been explained below:


Method 1

Step 2: On the dashboard, click on “Cap table” from the left hand side panel on the dashboard. A drop down menu will appear. Select the option “vesting plans” from this menu as shown below.

Step 3: Once you do this, you will be directed to the next page as shared below.

On this page, you will see all the vesting plans available in your company. There are no vesting plans as in this example, so you will see the screen option saying “There are no vesting plans created”. And under this, you will see a button that says “Create vesting plan”. Click on this button as shown above. 


Step 4: By clicking on the “Create vesting plan” button, you will then be directed to the next page, as below.

Here, you will need to add the name of the vesting plan, and the vesting period (the time period when all the shares would be awarded) which is normally at least 2-3 years.

After this, fill in the details of the Cliff (the length of time before the first part of the shares are issued), and also the “After Cliff” value. This is the time intervals of when the next percentage of shares are awarded to the shareholder. Once you have filled in all the details, click on “Submit”.


Step 5: After this, the plan will be created and added on the dashboard. You will then be directed back to the page of the vesting plans, as below.

And that is it, your vesting plan has been created. You can now choose the vesting plan when you are about to issue shares.

Additionally, once you issue shares to someone using the plan, the second panel on this page will show the shareholder under the vesting plan and how long it has been. The next method would explain more about it.

Method 2

Step 2: In the second method, you can easily create a vesting plan while issuing shares. For this, click on “Securities” on the left hand side panel of the dashboard, and a drop down menu will appear. Select the option saying “Equity Share Class”.

Once you do this, you will be directed to a page where you can issue shares to a shareholder. Click on any of the equity class that has already been created.

Once you click on the equity class, you will reach the page with all the details of the class along with two buttons on the right upper hand side of the dashboard. Here select the button that says “Issue Shares”.


Step 3:  You will be directed to a page where you can begin the process of issuing shares to your employees. Select the equity share class from the drop down list when adding the share class name. Another option will appear stating “Add a Shareholder”.

Step 4: After you click on the “Add a Shareholder” option, a drop down page will appear. Here, you need to first select the name of the shareholder from the drop down list. Here, we selected the option Matt Daehler

You will need to add in the details like the date of issuance of shares, the number of shares issued, the price of the share when issued, and the share certificate number.

Once you have added in these details, select the last option for the “vesting plan”. You will need to select if there is a vesting plan or not. In this case, choose the option “Yes” after which another option appears, as above.


Step 5: To select the vesting plan option, click on the field beside it. A drop down list will appear, from where you can see all the vesting options available along with the choice to create a vesting plan. 

Let us assume that the vesting plan you have in mind is not in the list. In this case, you will need to choose the option to “Create vesting plan”, as below.

Step 6: When you select the option “Create Vesting Plan” from the list, you will be directed to another page as shared below.

Add all the details like the plan name, the vesting period, cliff and the after cliff, vest every (month) detail. Once you have filled in all the details, click on “Submit Vesting Plan”.


Step 7: You will then be taken back to the page where you were issuing the shares and choosing the vesting plan. Now, select the vesting plan that you just created. And as soon as you do this, some additional options would appear as well, as shown below.

The additional options that come up include the vesting start date, and the vesting restriction. 

Note: Vesting restrictions are the restrictions that you will be placing on the vesting plan. There are three options usually available that appear, as below:

1. RSU
2. RSA
3. No Restriction

After adding all the details, click on “Submit”, and you will have created a vesting plan along with issuing the shares both at the same time.

If you want to view both the vesting plans, you can easily go back to the vesting plan page as you did in method 1 for creating a vesting plan. And you will be able to view all the plans that have been created as of now as shared below.

Additionally, you will also be able to see who has been issued shares using the vesting plan and how many shares have been vested as of now. You can use both methods to create a vesting plan for your company.
